§ 6-109. What Creditors Protected

(1) The creditors of the transferor mentioned in this Article are those holding claims based on transactions or events occurring before the bulk transfer, but creditors who become such after notice to creditors is given (Sections 6-105 and 6-107) are not entitled to notice.

UNIFORM LAWS COMMENT: Prior Uniform Statutory Provision: None.

Purposes:

1. Subsection (1) identifies the creditors who may have rights under the various provisions of this Article. The claims referred to of course include unliquidated claims. 2. Subsection

(2) gives the transferee or auctioneer appropriate credit for honest payments to particular creditors. If Section 6-106 is omitted this subsection should be also. See note to that section.
